What investment services and advice can you provide me?ProCap is a broker-dealer providing retail and institutional customers access to deposit and withdraw cash and Crypto Asset Securities. ProCap provides execution, clearing, settlement, and custody services for Crypto Asset Securities. ProCap does not offer investment advice, recommendations, or strategies, and does not monitor account performance except for its own risk management purposes. What fees will I pay?ProCap charges custody fees for Crypto Asset Securities and fees in connection with cash and Crypto Asset Security deposits and withdrawals. Fees may also be charged when buying or selling crypto assets. All fees are set forth in the Fee Schedule provided at account opening.You will pay fees and costs whether you make or lose money on your investments, and those costs will reduce your returns over time. If you access ProCap through an introducing broker-dealer, that firm may charge additional fees for which you are responsible.

How else does your firm make money and what conflicts of interest do you have?When providing brokerage services, we must act in your best interest and not put our interests ahead of yours. The way we make money creates some conflicts you should understand, as they can affect our services. ProCap does not make recommendations on whether to buy, sell, or hold Crypto Asset Securities, account types, or investment strategies. The Care Obligation under Reg BI is therefore not triggered in the ordinary course of our business, though our Disclosure and Conflict of Interest obligations apply.
How ProCap makes money:ProCap earns revenue through custody fees and transaction fees for clearing, settlement, and custody of Crypto Asset Securities.
Conflicts of Interest:Prometheum Inc., ProCap's parent, and its affiliates have a significant interest in the growth of Crypto Asset Securities trading and custody. ProCap's affiliates include Prometheum Ember ATS, Inc. ("ProATS"), which operates an alternative trading system, and ProFinancial, Inc., a registered broker-dealer focusing on crypto asset securities issuance. Because ProCap earns fees from activity that may originate through these affiliates, it has an economic interest in activity on those platforms. Neither ProATS nor ProFinancial provides recommendations or investment advice.
